Terms and Conditions for

NFP Participants

GoodWillGrow Service & Grant Agreement

This Agreement (“Agreement”) outlines the terms and conditions under which Big Films Media Pty Ltd t/as GoodWillGrow (“GoodWillGrow”), a social enterprise, will provide services, training, and support to the Client (“Client”).

The Organisation’s payment of the onboarding contribution constitutes acceptance of this Agreement and its terms.

Definitions

For the purposes of this Agreement:

  • Sponsor: An individual or entity that provides financial contributions to the Client in exchange for benefits outlined in sponsorship agreements.
  • Deliverables: Services and materials provided by GoodWillGrow under this Agreement, including but not limited to website revamps, sponsorship packages, and training.
  • Grant: The in-kind contribution valued at $12,000, provided by GoodWillGrow to support the Client’s development and sustainability.
  • Program: The suite of services and support provided by GoodWillGrow to the Client as outlined in this Agreement.
  • Purpose of the Agreement

This Agreement establishes the framework for the Client to receive support, training, and access to resources designed to develop sustainable sponsorship funding and reduce reliance on unpredictable grants or donations. Participation in the program includes access to in-kind grant services valued at $12,000, based on an assessment of need. The Agreement also establishes the framework for the ongoing relationship between the parties.

  •  Deliverables

GoodWillGrow provides comprehensive services designed to ensure sponsors receive measurable value and the Client secures sustainable funding. To maintain program consistency and effectiveness, the Client agrees to work exclusively with GoodWillGrow on advertising and sponsorship-related activities that are directly part of the GoodWillGrow Business Sponsorship Program during the term of this Agreement. This exclusivity applies specifically to securing and managing business sponsorships obtained through the Program.  The Client remains free to engage other providers for services unrelated to business sponsorships, such as website management, general organizational advertising, or marketing activities not associated with the Program.

GoodWillGrow will provide the Client with a comprehensive suite of services as detailed in Schedule of Services attached hereto as Appendix A

Upon acceptance into the program, the Client will receive:

2.1 $12,000 Digital Business Development Grant

The $12,000 grant is awarded based on an assessment of the Client’s current needs and resources. Deliverables are provided within the scope determined by GoodWillGrow, and adjustments may be made if certain elements, such as an existing website, already meet program standards.

Website Revamp: A professional website upgrade up to $5,000 to attract sponsors and meet eligibility requirements for funding.

Hosting Fees: One year of web hosting included.

Tailored Sponsorship Packages: Designed to showcase the value proposition for potential sponsors.

Legal Templates: Professionally crafted sponsorship agreement templates to use provided by GoodWillGrow.

Training and Strategy Support: Professional development sessions to enhance the Client’s capacity in securing sponsorships and managing sponsor relationships. 

2.2 Sponsorship and Strategy Support
A one-on-one strategy session to design value-stacked sponsorship packages tailored to potential sponsor goals.

Hands-on guidance in securing and growing sponsorships, including lead generation, sponsor outreach strategies, and onboarding support.

Exclusive advertising services to generate sponsor leads, including designing and managing campaigns that deliver measurable returns to sponsors. 

2.3 Hands-On Experience
GoodWillGrow will make every effort to provide opportunities for the Client to pitch to real businesses at the conclusion of the training session to secure immediate sponsorship commitments. However, these opportunities are not guaranteed and are subject to availability and external factors.

 

  1. Client Obligations

3.1 Financial Contribution

To activate the $12,000 grant and commence the program, the Client agrees to make a one-time, non-refundable onboarding contribution of $1,800 upon acceptance into the program. Payment options are available to suit the Client’s needs.

This onboarding contribution helps GoodWillGrow cover external expenses associated with the program, such as third-party contractors, suppliers, tools, software, and event venues. By collaboratively contributing to the Client’s fundraising success, this investment allows GoodWillGrow to enhance the program with high-quality resources and professional development opportunities, ultimately accelerating the Client’s fundraising goals. Additionally, this contribution supports the ongoing sustainability of GoodWillGrow and its mission to empower non-profits.

3.2 Payment Processing and Allocation

To streamline payments and ensure transparency, GoodWillGrow will manage all sponsorship revenue processing. All sponsorship payments will be directed to GoodWillGrow, who will then disburse the funds monthly to the Client according to the following allocation:

  • Client Distribution: 50% of the total sponsorship revenue will be disbursed directly to the Client.
  • Advertising Budget: 35% of the total sponsorship revenue will be allocated to the advertising budget. This budget is used exclusively for external advertising expenses, such as pay-per-click (PPC) advertising on platforms like Google Ads and social media ads, to maximise the reach and effectiveness of sponsorship campaigns. These funds go directly towards advertising costs and are not retained by GoodWillGrow.
  • GoodWillGrow Fee: 15% of the total sponsorship revenue will be retained by GoodWillGrow as a fee for the services provided under this Agreeme

3.4 Cooperation Provide timely access to website credentials and necessary materials to enable GoodWillGrow to deliver agreed services. Actively participate in training sessions and strategy meetings. 

3.5 Sponsor Identification Work collaboratively to identify potential sponsors and engage in securing sponsorship agreements.

  1. Terms of Participation

4.1 Acceptance into the Program
Participation is contingent upon approval of the Client’s application. If the Client’s application is approved, the Client must make the $1,800 onboarding contribution within 72 hours to confirm its place in the program. 

4.2 Timeline for Deliverables
Following payment, the Client will provide website logins to commence the initial phase. A one-on-one strategy session for sponsorship packages will take place approximately one month after program initiation. Training with industry experts will occur subsequently, culminating in an opportunity to pitch to real businesses for sponsorships. 

4.3 Performance-Based Fee
The Sponsor Fee, as outlined in Section 3.2, will only commence once sponsors are onboard and contributing financially to the Client. 

4.4 Changes to Terms
GoodWillGrow reserves the right to amend fees, deliverables, or program structure, but only with the mutual written consent of the Client.  GoodWillGrow will provide the Client with written notice of any proposed changes at least 60 days prior to their intended effective date.

This provision is included to allow GoodWillGrow to improve its services and program offerings over time, incorporate valuable feedback from Clients like yourself, and adapt to changes in the business environment.  Any changes will be made in good faith, consistent with the objectives of this Agreement, and will not materially alter the fundamental nature of the services provided. 4.5 Business Structure Changes
We may change the structure of our business and establish new entities designated for the purpose of this activity. In such event, the name of the social enterprise will remain the same, however, it’s associated ABN’s may change and the contracts will be transferred to the appropriate party involved.

4.6 Sponsor Sourcing
GoodWillGrow may offer to source sponsors on behalf of the Client. If GoodWillGrow sources a sponsor for the Client, a separate agreement will be executed in writing outlining the fee for service payable to GoodWillGrow for such services. This fee will be mutually agreed upon by both parties and will be commensurate with the value and effort involved in securing the sponsorship.

 

  1. Limitation of Liability and Dispute Resolution

5.1 Sponsor Dispute Resolution
In the event of a dispute between a sponsor and the Client, GoodWillGrow will assume responsibility for resolving issues strictly related to advertising services rendered by GoodWillGrow. Disputes related to the Client’s operations or sponsorship terms outside GoodWillGrow’s scope are excluded from this responsibility. 

5.2 Dispute Resolution Between the Parties
In the event of a dispute arising under this Agreement between GoodWillGrow and the Client, the Parties agree to the following resolution process:

  • Notification: The Party raising the dispute must notify the other Party in writing, providing a detailed description of the issue and any supporting evidence.
  • Good Faith Negotiation: The Parties agree to engage in good faith discussions to resolve the dispute within 14 days of the written notification.
  • Mediation: If the dispute cannot be resolved through negotiation, the Parties agree to submit the dispute to mediation conducted by an independent and accredited mediator in New South Wales, with costs shared equally between the Parties.  
  • Legal Action: If mediation does not resolve the dispute, either Party may initiate legal proceedings in the courts of New South Wales. This dispute resolution process does not limit the right of either Party to seek urgent interlocutory relief or to terminate the Agreement as outlined in Section 8.
  1. Confidentiality Both Parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the program’s execution.
  2. Term of the Agreement This Agreement will continue indefinitely in blocks of 12 months from the date of commencement. Renewal notices or communications shall be provided at least 30 days prior to the expiration of each 12-month term to ensure clarity for both Parties. Termination can only occur at the end of a 12-month interval, with written notice provided at least 30 days before the renewal date.
  3. Termination This Agreement may be terminated under the following conditions: 

8.1 Termination Conditions

  • Written notice of breach of obligations by either Party, with a 14-day remedy period.
  • Failure of the Client to make the $1,800 onboarding contribution within the specified timeframe. 

8.2 Effect of Termination 

Upon termination, all materials provided by GoodWillGrow must be returned or destroyed, and any fees already paid will not be refunded. Deliverables provided under the $12,000 grant remain the property of the Client.

 

  1. Indemnity The Client agrees to indemnify and hold harmless GoodWillGrow, its representatives, and affiliates against any claims, damages, or liabilities arising from:
  • Claims directly attributable to the negligence or misconduct of the Client.
  • Any third-party claims arising from the actions or omissions of the Client, excluding claims related to the performance of GoodWillGrow’s services. If any provision of this Agreement is deemed unenforceable or invalid under applicable law, the remaining provisions shall remain in full force and effect.
  1. Governing Law This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia. If any provision of this Agreement is deemed unenforceable or invalid under applicable law, the remaining provisions shall remain in full force and effect.  
  2. Force Majeure Neither Party shall be liable for any delay or failure to perform its obligations under this Agreement due to unforeseen circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, or governmental actions.
  3. Intellectual Property

12.1 Ownership of Materials
GoodWillGrow creates unique materials (e.g., templates, sponsorship packages, advertising content) to help clients secure sponsorships. These materials are the intellectual property of GoodWillGrow, similar to how a designer owns their designs or a writer owns their writing. This is standard practice in creative industries. However, the Client receives a license to use these materials as outlined below. Ownership of specific materials may be transferred to the Client as detailed in section 12.5.

12.2 License to Use
GoodWillGrow grants the Client a non-exclusive, non-transferable license to use the materials created under this Agreement. This means the Client can use the materials for their sponsorship and community impact activities but cannot share them with others or claim ownership. This license ensures the Client can benefit from GoodWillGrow’s work while protecting GoodWillGrow’s intellectual property rights.

12.3 Pre-Existing Materials
Any intellectual property the Client owns before this Agreement remains theirs. This includes their website, logo, and any other materials they already have. GoodWillGrow’s services will enhance these existing assets, not take ownership of them.

12.4 Third-Party Materials
GoodWillGrow may use third-party tools or platforms (e.g., design software, social media scheduling tools) in providing services. The Client agrees to comply with any licensing terms associated with these third-party tools.

12.5 Transfer of Ownership
If the Client wants to own specific materials created by GoodWillGrow (e.g., website assets), they can request a transfer of ownership. This will be considered on a case-by-case basis and will require a separate written agreement outlining the terms.

 

  1. Entire Agreement This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.  
  2. Severability If any provision of this Agreement is deemed unenforceable or invalid under applicable law, the remaining provisions shall remain in full force and effect.
  3. Independent Contractor The Client acknowledges that GoodWillGrow is an independent contractor and not an employee or agent of the Client. GoodWillGrow shall be solely responsible for the payment of all taxes, insurance, and other expenses related to its performance under this Agreement.
  4. Waiver No waiver by either Party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.  
  5. Assignment This Agreement shall not be assigned by either Party without the prior written consent of the other Party, except that GoodWillGrow may assign this Agreement to an affiliate without such consent.  
  6. Binding Effect This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and permitted assigns.  

Date: This Agreement becomes effective on the date of receipt of the Client’s onboarding contribution payment by GoodWillGrow.

Schedule of Services

  1. Advertising Facilitation and Management
  • Facilitate advertising between sponsors and the sponsored charity: GoodWillGrow will manage advertising campaigns where businesses sponsor a charity. The charity receives the majority of the sponsorship revenue, while the remainder is allocated towards advertising costs to ensure a return on investment for the business sponsor. For example, GoodWillGrow may run Google Ads campaigns where “ABC Plumbing” would be listed on the charity’s website with ads stating “Work with a plumber that sponsors our charity.”
  • Manage sponsor advertisements on the website: This includes updating and maintaining sponsor details, images, and ad content on the charity’s website.
  • Handle ad analytics and tracking: Monitor and analyse ad performance, providing reports, and making recommendations for optimization.
  • Content creation: Create compelling ad content (text, images, videos) as needed.
  • Communication with sponsors: Act as the primary point of contact for sponsors regarding advertising campaigns, performance, and reporting.
  • Payment processing: Handle all aspects of payment processing, including invoicing, collecting payments, managing overdue payments, and resolving declined payments.
  • Sponsor communication: Communicate with sponsors on behalf of the client regarding payments and other advertising-related matters.
  1. Additional Services
  • Awards and Recognition Materials: Provide all necessary awards, certificates, trophies, thank you cards, and other materials to recognise sponsors and their contributions.
  • Events and Recognition: Organize and host events to recognize both sponsors and non-profits.
  • CRM, SMS, and Email Automation: Facilitate and manage automated communication systems for sponsors and clients.
  • Reporting: Provide regular reports to sponsors on ad performance and campaign results.
  • Digital Platforms: Develop and introduce digital platforms to further empower non-profits, such as a volunteer rewards platform.
  • Sponsor Prospecting and Outreach: Actively seek out and contact potential sponsors on behalf of the client.
  • Sponsorship Package Development: Create customized sponsorship packages tailored to the client’s needs and sponsor interests.
  • Negotiation Support: Assist the client in negotiating sponsorship agreements.
  • Contract Management: Manage and track sponsorship contracts.
  • Public Relations and Media Outreach: Promote the client and their sponsors through press releases, media relations, and social media.
  1. Expertise and Resources
  • Data Analysis and Media Buying: Leverage the expertise of our data analysts and media buyers to maximize ad campaign performance and sponsor ROI.
  • Onboarding Resources: Provide clients with up-to-date tools, information, and resources to effectively onboard new sponsors.
  • Sponsor Onboarding: Handle the onboarding process for new sponsors, ensuring a smooth and efficient integration into the program.
  • Sponsor Relationship Management: Maintain regular contact with sponsors to ensure their ongoing satisfaction with the program and address any concerns.
